Welcome to Everlly, a service operated by Everlly, LLC. By accessing or using our platform at everlly.ai or app.everlly.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including couples, vendors, and venues.

1. About Everlly

Everlly is an AI-native wedding planner for couples, with additional business workspaces for wedding vendors and event venues. The platform provides personalized planning, guest and RSVP management, seating, budget and task tracking, digital invitations, a wedding website, a vendor marketplace in beta, calendar scheduling, and AI planning assistance.

2. Eligibility & Account Registration

You must be at least 16 years of age to use Everlly. By registering, you confirm that the information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at support@everlly.ai if you suspect unauthorized access to your account.

You may not create accounts using automated means, impersonate another person, or create an account on behalf of someone else without their explicit consent.

3. User Roles

Everlly offers three account types, each with distinct features:

• Couple: Access to guest list management, personalized AI planning, RSVP collection, seating, budget tracking, digital invitations, and beta vendor marketplace browsing.
• Vendor: Access to a marketplace profile, sales pipeline, booking management, and smart calendar for scheduling availability.
• Venue: Access to event calendar, booking pipeline, couple collaboration tools, and preferred vendor network management.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Send unsolicited bulk messages (spam) through our WhatsApp or email tools
• Upload or share content that is illegal, abusive, defamatory, or infringes on intellectual property rights
• Attempt to gain unauthorized access to other users' accounts or data
• Use automated tools (bots, scrapers) to access the Service without our permission
• Misrepresent yourself, your business, or your services on the marketplace
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest personal data of other users without their consent

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Subscription & Payments

Free Trial

Everlly offers a 7-day free trial with 20 AI planner requests. Sending invitations and messages is locked during the trial.

Paid Subscriptions

The Basic plan is $19.90 USD per month and the Pro plan is $49.90 USD per month. Current plan limits, included credits, and beta-feature eligibility are shown on the pricing page before purchase.

Billing

Subscriptions are billed monthly on the date of purchase. Payments are processed securely by our third-party payment provider. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months. If you believe you were charged in error, contact us within 14 days.

Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price increase via email.

6. Content & Intellectual Property

Your Content

You retain ownership of all content you upload to Everlly, including guest data, photos, and business information. By uploading content, you grant Everlly a limited, non-exclusive license to store, display, and process your content solely to provide the Service.

Our Platform

Everlly and its original content, features, design, and technology are owned by Everlly, LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written permission.

Feedback

If you submit feedback or suggestions about the Service, you grant us a perpetual, irrevocable right to use that feedback to improve our products without compensation to you.

7. Third-Party Services

Everlly integrates with third-party services including WhatsApp (via Twilio), Microsoft Azure, and Google Calendar. Use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

8. AI Features

Everlly uses artificial intelligence to power features such as seating chart generation and planning assistance. AI-generated suggestions are provided as recommendations only. You retain full control and responsibility for all final decisions made using these features.

AI features use your event data (guest list, preferences, relationships) to generate outputs. This data is processed in accordance with our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that vendor or venue listings are accurate, complete, or that any booking or transaction will be completed successfully.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERLLY, LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

In no event shall our total liability to you exceed the amount you paid us in the twelve months preceding the claim, or $100 USD if you have not made any payments.

11. Indemnification

You agree to indemnify and hold Everlly, LLC harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

12. Termination

You may close your account at any time from your account settings. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account at any time if we believe you have violated these Terms, with or without notice. We will not be liable for any loss resulting from suspension or termination in good faith.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Israel.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice within the platform at least 14 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
